Important Notice: By using AutoPilot AI's services, you agree to these Terms of Service. If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the automation services provided by AutoPilot AI ("Service," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

1.1 Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

1.2 Account Registration

To access certain features, you may need to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

2. Services Description

AutoPilot AI provides business automation services where we build, deploy, and maintain custom automation workflows based on your requirements. Our services include:

  • Analysis of your automation needs
  • Design and implementation of custom workflows
  • Integration with third-party tools and services
  • Ongoing maintenance and support
  • 24/7 monitoring of automation performance
  • Regular updates and optimizations

2.1 Service Levels

We offer different service tiers with varying levels of automation complexity, response times, and support. Specific service level agreements (SLAs) are outlined in your service agreement.

3. Founding Client Program

The Founding Client Program is a limited-time offering with special benefits and commitments.

3.1 Program Benefits

  • Lifetime Pricing: Locked-in rates for the duration of your relationship with AutoPilot AI
  • Priority Support: Faster response times and dedicated support channels
  • Influence on Development: Opportunity to provide feedback and influence product roadmap
  • Early Access: First access to new features and capabilities

3.2 Program Commitments

  • Minimum Term: 3-month minimum commitment from service activation
  • Feedback Requirement: Agreement to provide regular feedback on service experience
  • Case Study Permission: Permission to use your company as a case study (anonymized if requested)
  • Exclusivity: Benefits apply only to Founding Client tier services

3.3 Program Limitations

The Founding Client Program is limited to 50 initial spots with potential expansion at our discretion. Program benefits are non-transferable and subject to the terms outlined in your specific Founding Client Agreement.

4. Payments & Billing

Our services are billed on a monthly subscription basis unless otherwise agreed in writing.

4.1 Subscription Fees

  • Fees are billed in advance on a monthly basis
  • Payment is due upon receipt of invoice
  • Late payments may result in service suspension
  • Prices are in US dollars unless otherwise specified

4.2 Founding Client Pricing

Founding Clients receive locked-in pricing as specified in their Founding Client Agreement. This pricing is guaranteed not to increase for as long as you remain an active customer with continuous service.

4.3 Additional Costs

You are responsible for any third-party service costs (e.g., API fees, software licenses) required for your automations, unless otherwise agreed in writing.

5. Cancellation & Refunds

5.1 Cancellation Policy

  • Monthly subscriptions can be canceled with 30 days written notice
  • Founding Clients have a 3-month minimum commitment
  • Cancellation requests must be submitted via email to support@autopilotautomation.org
  • No refunds for partial months of service

5.2 Refund Policy

Due to the custom nature of our services, we do not offer refunds except as required by law or at our sole discretion. If you are dissatisfied with our services, please contact us and we will work to resolve any issues.

6. User Responsibilities

6.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

6.2 Compliance with Laws

You agree to use our Service in compliance with all applicable laws, regulations, and third-party terms of service.

6.3 Content and Data

You retain all rights to your data and content. By using our Service, you grant us the necessary rights to process your data to provide the Service.

6.4 Prohibited Uses

You may not use our Service to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Engage in spam or unsolicited communications
  • Interfere with or disrupt the Service
  • Attempt to reverse engineer or decompile our Service

7. Intellectual Property

7.1 Our Intellectual Property

All rights, title, and interest in and to the Service, including all intellectual property rights, are and will remain the exclusive property of AutoPilot AI and its licensors.

7.2 Your Intellectual Property

You retain all rights to your data, content, and pre-existing intellectual property. We claim no ownership over your materials.

7.3 License to Use

We grant you a limited, non-exclusive, non-transferable license to use our Service in accordance with these Terms. This license is for the sole purpose of using the Service as provided by us.

8. Confidentiality

8.1 Definition

"Confidential Information" means all non-public information disclosed by either party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

8.2 Protection

Each party agrees to protect the other's Confidential Information using the same degree of care it uses to protect its own confidential information of similar nature, but no less than reasonable care.

8.3 Exceptions

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was rightfully known prior to disclosure; (c) is independently developed; or (d) is rightfully obtained from a third party without restriction.

9. Limitation of Liability

9.1 No Consequential Damages

In no event shall AutoPilot AI be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

9.2 Total Liability

Our total liability for any claims under these Terms, including for any implied warranties, is limited to the amount you paid us to use the Service in the 12 months preceding the claim.

9.3 Service Level Credits

Your exclusive remedy for any service level failures will be service credits as outlined in your service level agreement, if applicable.

10. Termination

10.1 By You

You may terminate your account at any time by providing 30 days written notice, subject to any minimum commitment periods.

10.2 By Us

We may suspend or terminate your access to the Service if you breach these Terms, with or without notice.

10.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will retain your data for 30 days post-termination, after which it may be deleted.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

11.2 Arbitration

Any dispute arising from these Terms will be resolved through binding arbitration in Delaware, rather than in court.

11.3 Class Action Waiver

You agree to resolve disputes on an individual basis and waive any right to participate in a class action.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
